- Gäldenärens avtal utgör en av de viktigaste tillgångarna vid såväl företagsrekonstruktion som vid konkurs. Det är ett rättsområde som är komplext och som regleras på flera olika ställen i lagstiftningen. Vid företagsrekonstruktion finns ett lagrum i lagen om företagsrekonstruktion men vid konkurs tillämpas bl.a. 63 § köplagen och vissa regler i jordabalken analogt för andra avtals typer än köp och hyra av fast och lös egendom. Syftet med denna framställning är bl.a. att kartlägga det gällande rättsläget samt att föra en kortare diskussion om hur gäldenärens avtal bör regleras i en kommande lagstiftning. I boken behandlas gällande rätt för hanteringen av gäldenärens avtal under såväl konkurs som företagsrekonstruktion, exempelvis beträffande köp av lös egendom, hyra av lokal, leasingsavtal och handel med värdepapper. Den för svensk obeståndsrätt unika bestämmelsen i 2 kap. 20 § lagen om företagsrekonstruktion behandlas i ett separat kapitel.
