- The purpose of this chapter is to evaluate if company law regulation is in need ofnew instruments to enhance good governance when tacking shareholder conflicts inSMEs. For this purpose, I first need to explore statutory and contractual regulation andits function in situations where there is a disagreement or a conflict between controllingand minority shareholders in owner-managed SMEs. This discussion is divided intothree phases: before an individual becomes a minority shareholder, during theco-ownership, and when a conflict has arisen leading to a collapse of the collaboration. In each of these phases, statutory or contractual regulation can empower the minorityshareholder. The analysis will, however, show that traditional shareholder protectionrules can increase the conflict rather than solve it and hereby hinder the company torun properly. Consequently, I discuss three instruments on how to empower minorityshareholders in SME-conflicts while also promoting good governance.
