Aktiefordringsägare och aktionärer : – terminologiska verktyg i det juridiska tänkandet?

• The purpose of the article is to point out that lawyers’ ways of thinking about shareholders’ interests and relationships can affect our handling of certain parts of the law. In the Swedish language, the term ”aktieägare” is used to describe the subjects who have shares in a company. The term could translate as ”share-owners”, but is also understood as owners of the company. It is rather clear that the terminology includes, and is associated to, the concept of ownership. This terminology can affect how lawyers think when handling legal issues. In order to increase the lawyers’ opportunities to identify the real opposing interests in various legal issues, it is conceivable that the use of some alternative terms (to the term ”aktieägare”) could provide increased precision in the legal thinking and the legal communication. The analysis behind this article indicates that it can be useful to use two terms that do not link those who have shares in a company to ownership. One of these terms, ”aktionär”, has the advantage of also being used in several other languages, including the other Nordic languages. The other term, ”aktiefordringsägare”, is a made-up term for the specific purpose of increased precision. It underlines that several shareholders have an interest in the company limited to getting a return on their capital.
