I boken diskuteras frågor om juridisk personlighet, ansvar för förpliktelser, beslutsfattande, företrädarskap, medlemsskydd, borgenärsskydd och redovisning och revision. Utöver detta behandlas vissa straffrättsliga regler av betydelse för bedrivande av verksamhet i företag och företagsbot som särskild sanktion. Boken placerar associationsrätten i en samhällelig kontext, bland annat mot bakgrund av de hållbarhetssträvanden som sker inom EU och internationellt. Associationsrättens grunder vänder sig i första hand till studenter inom juridikutbildningar men kan också användas som vägledning för den som är praktiskt verksam inom området.

    • Det inomobligatoriska medhjälparansvaret har länge ansetts bygga på oskrivna tillräknanderegler. Anta att B anlitar C för att utföra något som uppfyller B:s avtalsförpliktelse mot A och att C orsakar A skada genom handlingen eller underlåtelsen H. Frågan om B:s skadeståndsansvar mot A ska enligt dessa regler avgöras på samma sätt som om B själv hade företagit H. De centrala frågorna blir då om H strider mot någon avtalsförpliktelse som B har mot A och om C har företagit H på ett sådant sätt att den i relationen mellan A och B tillämpliga ansvarsgrunden (t.ex. oaktsamhet) är uppfylld. Den traditionella bilden har emellertid utmanats i litteraturen och även i prejudikatet NJA 2018 s. 301. Artikeln argumenterar för att de konkurrerande beskrivningarna är omotiverade och att gällande rätt alltjämt svarar mot den traditionella bilden.

    • De senaste åren har det kommit många prejudikat rörande medansvar vid kritisk kapitalbrist i 25 kap. aktiebolagslagen (ABL). I ett nytt prejudikat klargör Högsta domstolen när ett aktiebolags förpliktelse att lämna ersättning för rättegångskostnader ska anses ha uppkommit vid tillämpning av 25 kap. 18 § ABL. Trots den ofta upprepade utgångspunkten att reglernas ändamål är att verka handlingsdirigerande genom att medansvaret verkar som ett påtryckningsmedel för styrelseledamöterna har det delvis varit oklart vilken betydelse detta haft för utgången i tidigare fall. Det nya prejudikatet klarlägger och kompletterar bilden genom att även lägga vikt vid reglernas funktion av att skydda enskilda borgenärer mot riskökningar. Prejudikatet analyseras av jur. dr Johan Adestam, lektor i rättsvetenskap och jur. dr och docent Niklas Arvidsson.

  • Fewer Community-Acquired Colds with Daily Consumption of Lactiplantibacillus plantarum HEAL9 and Lacticaseibacillus paracasei 8700:2. A Randomized, Placebo-Controlled Clinical Trial

    • BACKGROUND: Viral infections of the upper airways are the most common cause for absence from work or school, and there is evidence for probiotic efficacy in reducing the incidence and severity of these infections.OBJECTIVES: We aimed to confirm the previously reported beneficial effects of Lactiplantibacillus plantarum HEAL9 and Lacticaseibacillus paracasei 8700:2 against community-acquired common colds and identify a possible mechanism of action.METHODS: In a double-blind study, healthy adults (18-70 years of age) with at least 4 colds during the last 12 months before recruitment were randomly allocated to consume either probiotics (n = 448; total daily dose of 109 CFU with the 2 strains equally represented) or placebo (n = 450) once daily for 12 weeks. Recruitment took place from October to February during 2013-2016 (over 3 cold seasons). The probiotic impact on the severity of the colds (Wisconsin Upper Respiratory Symptom Survey-21) was the primary endpoint, whereas secondary endpoints included the incidence rate and duration of colds and an analysis of immune markers. Mann-Whitney U test and mixed model were used for the analysis of continuous variables and Fisher´s exact test was used for the analysis of categorical endpoints.RESULTS: Symptom severity was not reduced after intake of the probiotic, despite the positive trend seen in the first season. However, significantly fewer colds were experienced in the probiotic group (mean of 1.24 colds) as compared to the placebo group (mean of 1.36 colds; P = 0.044) for subjects reporting at least 1 cold, the incidence of recurring colds was 30% lower (20.8% vs. 29.8%, respectively; P = 0.055), and the use of analgesics was 18% lower (26.3% vs. 32%, respectively; P = 0.07). After 12 weeks, the change from baseline for IFN-γ differed between the groups (mean difference of -7.01; 95% CI, -14.9 to 0.93; P = 0.045).CONCLUSIONS: Intake of Lactiplantibacillus plantarum HEAL9 and Lacticaseibacillus paracasei 8700:2 can be protective against multiple colds in adults prone to getting colds.This trial was registered at clinicaltrials.gov as NCT02013934.

    • Professionell juridisk rådgivning kräver att rådgivaren gör prognoser om vilka beslut som domstolar eller andra myndigheter kommer att fatta, om klienten väljer att agera på olika sätt. Rådgivaren har både ett fackmässig­hetsansvar och ett upplysningsansvar. Artikeln uppmärksammar ett nytt prejudikat ("Skatterådgivarens ansvarsbegränsning") som bl.a. illustrerar att upplysningsansvaret är långt­gående. Överträder rådgivaren sina skyldig­heter är det fråga om ett potentiellt skadeståndsgrundande fel i tjänst. För att minska sin risk kan rådgivaren avstå från uppdraget om inte parterna kommer överens om en ansvars­begränsning, men för att en sådan ska ges full effekt krävs att den inte ger upphov till ett oskäligt resultat. Avgörande för skäligheten är bl.a. om ansvarsbegränsningen återspeglar en rimlig risk­fördelning i ljuset av rådgivarens övergripande lojalitetsplikt liksom arten och graden av råd­givarens oaktsamhet.

  • Response to the Proposal for a Directive on Corporate Sustainability Due Diligence by Nordic and Baltic Company Law Scholars

    • On February 23, 2022, The EU Commission published its Proposal for a Directive of the European Parliament and of the Council on Corporate Sustainability Due Diligence and amending Directive (EU) 2019/1937 (“CSDDD” or “the Proposal”). The purpose of the Proposal, to further the “Union’s transition to a climate-neutral and green economy in line with the European Green Deal and in delivering on the UN Sustainable Development Goals”, is of great importance, and the Commission’s initiative is therefore commendable. However, it is our firm opinion that the Proposal should not be enacted in its present form, and that if it were to be, it would not only damage European businesses but also run the risk of having an adverse effect on both the transition to a climate-neutral economy as well as the goal of delivering on the UN Sustainable Development Goals. This is to a large extent because many of the Proposal’s provisions are excessive, unfounded and disproportionate and as such in violation of the fundamental principles of subsidiarity and proportionality safeguarded by Art. 5 TEU as well as having a questionable basis in Art. 50 TFEU. Furthermore and in regard of procedure, we find that the presentation of the Proposal by the Commission represents a disregard for the principles of better regulation that should not pass unnoticed and must be observed in the future to maintain trust in the legislative process of the Union.In this response to the consultation, we have presented an analysis of the key issues of the Proposal from a corporate governance perspective. We have divided the response into two parts: one on the pure corporate governance parts of the Proposal (article 15, 25 and 26) and one of the due diligence parts of the Proposal. With regards to the corporate governance parts of the Proposal, our conclusion is that they, by and large, should not be included in the proposed directive at all. Including them would in several ways be in breach of the EU principles on subsidiarity and proportionality, but perhaps more importantly, they are not only unsubstantiated by available empirical evidence on corporate behaviour, but also refuted by what we know. There is also good reason to believe that the proposed rules on director’s duties and environmental remuneration would risk decreasing the effectiveness of the stock markets within the EU contrary to the goal of a Capital Market Union, which also risk slowing down the necessary transition to a green economy and the goals of the EU Green Deal. The regulation necessary for the Capital Market Union and the EU Green Deal should complement each other, not collide as would be the outcome if the Proposal is adopted in its present form.With regards to the due diligence parts of the Proposal, our criticism is limited to corporate governance aspects and far less fundamental. We primarily believe that grounds for harmonisation needs further consideration in the present very challenging times, that Article 22 on Civil Liability might in several ways be counter-productive to the goals of the Proposal, that the effects on SMEs as well as for the financial companies included covered by the Proposal warrants further analysis, that the choice to focus the Proposal on individual companies instead of company groups needs to be reviewed, and that a risk based approach should be taken rather than an approach were companies are unable to focus their efforts to where they can be most effective. Overall, these issues can be worked out, but if they are not, then the proposed directive would not only have a severe adverse impact on EU companies and possibly capital markets, but might actually hinder EU companies from acting in the way that the Proposal aims for them to do.This joint response to the public consultation is made by a group of Nordic and Baltic company law scholars who, although we may not agree on every detail, do share the main arguments and grave concerns expressed here.

  • An exploratory study of consumer attitudes towards mobile ticketing in Sweden

    • Swedish public transport organizations have set an objective to double usage of the public transport during the next coming five years. This study attempts to investigate if the current ticket solutions support the goal of the public transport companies, and if the available mobile phone solutions can lower barriers for consumers. In order to do that, critical travelling moments for users of different market segments were estimated during a pre-study stage. The following focus group discussions helped to validate problems identified during the pre-study. At the same time, focus groups provided deeper consumer insights on general consumer perception of the transport service, ticketing, mobile payment, quality of service, consumer expectations related to the public transport services, and consumer satisfaction and loyalty.The conducted research helped to identify problems existing in public transport ticketing and mobile payment areas, which have the negative impact on the usage of the public transport service and contribute with additional barriers for users. Moreover, this conclusion is supported by multiple examples that clearly illustrate what does not work, and why it does not work. Hence, mentioned solutions do not support the overall objective of the public transport operators. The comprehension of these problems and barriers can contribute to a better understanding of consumer needs and expectations, and help the public transport service providers to improve the service.

  • Challenges Related to the Introduction of Innovative Services in the Market : Mobile Payment Services in the Swedish Retail Industry

    • Mobile payment services are expected to be the next step of the electronic payment evolution. However, the level of penetration in European countries is lower than expected. The focus of most academic research has been in two main areas: (i) mobile payment adoption by consumers and (ii) technical aspects of the service. Consequently, a number of themes remain under-researched. In order to expand knowledge on reasons that affect the wider penetration of mobile payments, challenges related to the introduction of mobile payment services in the market have been explored in this thesis.More specifically, this research has addressed two problem areas: (i) why mobile payments have not been widely adopted by merchants; and (ii) what effects that the introduction of mobile payments has had on the business networks of the involved actors. As an example, we use the mobile payment services applied in the Swedish retail industry. The study is focused on the main groups of stakeholders – the mobile payment providers, the retailers, and the consumers.First, this study has helped to identify what different stakeholders expect of mobile payments and how these services correspond to their needs. In order to analyse the expectations of stakeholders, we have developed an analysis framework based on the theory of diffusion of innovations, the Technology Acceptance Model (TAM), and the theory of network externalities. The analysis highlights the expectations of stakeholders and helps to understand what kind of mobile payment service merchants expect and are willing to adopt. One key finding is that existing mobile payment services for retailing could be further improved in order to ensure an enhanced purchasing process for consumers.Second, the research has explored the impact of mobile payment services on the business networks. In order to analyse the relationships and cooperation between business actors, and changes in business strategy and network structure, we used the approach proposed by the Industrial Marketing and Purchasing (IMP) Group. The performed analysis illustrates the following changes in the structure of business networks for the traditional payment solutions (bank cards): (i) emergence of new business actors (i.e. independent mobile payment providers); (ii) new roles and activities of business actors; and (iii) exclusion of traditional business actors (i.e. banks) from the mobile payment systems.All these changes lead to increased complexity of relationships and increased level of interdependence between business actors within the networks. The following changes in the strategies of involved actors have been identified: (i) mobile payment providers seek to achieve a control over the business network; (ii) the retailers affect strategies of the mobile payment providers; (iii) the marketing strategies of business actors include cross-marketing in different sectors. All these changes result in additional value and enhanced quality of service for consumers.In order to analyse a complex and multidisciplinary area such as mobile payments, it is beneficial to use more than one analysis approach. A combination of different complementing methods helps to explore different aspects of the phenomenon and provides a more comprehensive overview of several research aspects.This work contributes to the academic research of mobile payment service adoption by merchants through proposing a theoretical analysis framework. More specifically, the research addresses a new area – expectations of retailers when new solutions are introduced. The framework consists of the following criteria and aspects: technological feasibility, economic benefits, lower service costs, added value of services, network externalities and the problem of critical mass, and finally, ease of use. This framework helps to identify what merchants can expect of mobile payment services.Another area of contribution is the analysis of the effect that mobile payments make on the actors and business networks of traditional payment services. The introduction of new services results in emergence of new business actors, a need to establish new relationships, and increased complexity of a business network. Moreover, in order to succeed, cooperation between all network actors is needed. As a result, business actors have to adjust their services and strategies according to needs of others.

(2015) concludes that there is a need to synthesise this research area by studying contexts in which innovation is carried out and to integrate different aspects of research. This article aims to provide a proposal for how to achieve such integration and context orientation by building on previous studies and offering an additional review. Our systematic literature review of mobile payments research is focused on papers published during 2006–2016. The main objective is to examine how mobile payments research has been conducted from the methodological and theoretical perspectives. Our findings show that research on mobile payments is a multidisciplinary research. Three main themes in the research (in line with previous studies) are customer adoption, technological aspects, and business aspects. Moreover, research is mainly analytical based on a deductive approach. To meet the challenge formulated in the previous research, we propose and apply a socio-technical system framework to achieve synthesis and context-specific consideration in future research on mobile payments.

  • Opportunities and challenges of mobile payment services : The perspective of service providers

    •  Mobile payments are transforming the payments industry. These services open up the opportunity for non-banking actors to enter the market. In order to embrace this challenge, banks, traditional payments market players, are forced to launch mobile payments. However, in Europe and most developed economies, a big number of launched services get terminated soon after their introduction in the market. Hence, the ability of different actors to act locally calls for additional research.The main objective of this thesis is to broaden knowledge and understanding about the ways mobile payment service providers address the opportunities and challenges of mobile payment services. In order to investigate this problem, this research (i) explores factors stimulating and hindering the introduction of mobile payments using perspectives of different types of service providers (i.e., banks, independent providers, direct operator billing providers, retailers, and public transport companies) and (ii) seeks to explain the importance of these factors for each type of provider.The primary data collected using interview method. More than 40 industry representatives in six countries were contacted. The Service, Technology, Organisation, and Finance (STOF) model was used as a theoretical research framework. This is a business modelling framework that specifies a set of critical design issues that have to  be considered within each model’s domain.Research findings highlight that the organisation domain is the key domain, which  affects all other domains and has an impact on the general viability of the business model. A comparison of the approaches used by different service providers to address each of the critical design issues helped to identify the factors that are most important within each domain. These factors stimulate or hinder development of a viable business model within each category of service providers.This research contributes to a better understanding of challenges and success factors associated with the design of business models for new mobile services and uses the lens of the STOF model. The contributions to the academic research on mobile payments are: (i) collection and analysis of a rich empirical data set on mobile payment services implemented in six Northern European countries, (ii) discussion of a bigger picture by connecting research findings to the context of the existing payment system, (iii) extension  of knowledge on business models for mobile ticketing, and (iv) extension of knowledge on the value of mobile ticketing services in the business-to-business (B2B) context.

    • One of the main areas of mobile payment application in Sweden is mobile public transport ticketing. The main stakeholders involved in this service are mobile network operators, mobile payment service providers, SMS ticket’s “technology solution” providers, public transport companies, and consumers.Traditionally, mobile operators have had a strong position in this niche since the mobile phone bill or pre-paid subscriptions were used for end-user billing. Due to financial regulation, this situation was changed in February 2013 when new SMS payment solutions were introduced for all public transport companies in Sweden. A number of new actors entered the scene, and the position of existing actors changed dramatically. At the same time, the Swedish mobile operators formed a joint venture, 4T Sweden, offering a new mobile payment solution – WyWallet.The main focus of this paper is on the change of expectations of different stakeholders taking part in provisioning of SMS payment services. Analysis has been performed by comparison of the initial expectations before the introduction of the new SMS payment system and the real outcome in approximately half a year time. Analysis revealed the fact that expectations of a number of stakeholders about mobile payment services did not come true. Moreover, due to barriers set by the mobile payment solution, mobile payment transactions in public transportation is dramatically lower than what SMS payments were before the market changed.

  • Stakeholders' expectations of mobile payment in retail : lessons from Sweden

    • Purpose– The purpose of this paper is to explore the reasons behind the slow adoption of mobile payment services. The expectations of the main groups of stakeholders – the mobile service providers, the retailers, and the consumers – of the service in the retail industry in Sweden are examined. Design/methodology/approach– The authors use a qualitative case study of stakeholders’ expectations. The conceptual research framework is based on the theory of diffusion of innovations, the technology adoption model, and network externalities. The proposed framework was tested and validated by empirical findings. Findings– One of the key findings of the research highlights that acceptance of a mobile payment service depends on the ability of mobile payment providers to build networks of both retailers and consumers simultaneously. The service will attract these stakeholders if it meets their expectations in the best possible way. Another finding is that mobile payment services do not meet expectations on an enhanced purchasing process. This is the area for future service improvement. Research limitations/implications– The main limitation of this study is that only a few retailers were contacted. Practical implications– First of all, criteria from the developed research framework can be used as a guide for mobile payment service development. Second, when developing and providing a mobile payment service, mobile payment providers need to have a good understanding of the needs and expectations of retailers and consumers. Originality/value– Stakeholders’ expectations have not been a focus for research in previous studies. This is a new research object.

Syftet med denna förstudie är att identifiera vilka typer av transporter som kan vara lämpliga för HCT-ekipage i Sverige. Det finns ett antal olika dimensioner som är av intresse: •Varuslag. Går det att identifiera vissa varuslag eller branscher som särskilt lämpade för HCT-transporter? •Varuflöden. Går det att identifiera regioner och/eller stråk som tack vare sin volym vore intressanta för HCT-transporter? •Fordonstyper. Finns det vissa fordonstyper som är särskilt intressanta? •Begränsningar. Hur ser infrastrukturen ut? Finns det begränsningar som skulle hindra ett införande av HCT? Av praktiska skäl är studien begränsad till svensk vägburen inrikestrafik då det är inom detta segment som data finns tillgänglig. Volymer som lastas/lossas i till exempel hamnar räknas som inrikestrafik inom landet. Slutsatsen är att inom rätt varusegment kan HCT vara ett mycket bra alternativ för varuägaren: •Malm och andra produkter från utvinning. Korta avstånd, ofta lokalt vägnät, tidsbegränsat och med kort varsel. Stor potential men kräver snabb och effektiv tillståndsprocess. •Livsmedel, drycker och tobak. Stora, stabila flöden, ofta på stora vägar. Här kan HCT systematiseras i större skala. •Produkter från jordbruk, skogsbruk. Stora fordon som lastar mycket gods och kör långa avstånd. Att just rundvirke (som utgör majoriteten av godset i gruppen) lämpar sig för HCT är redan ett faktum i och med ETT-projektet. Dessa transporter sker ofta på mindre vägar vilket kan utgöra problem. •Trä och varor av trä och kork (exkl. möbler). Stora, långa flöden, i detta fall främst av flis, papper och sågade trävaror. Även här kan mindre vägar bli aktuella. Ytterligare ett varuslag, Styckegods och samlastat gods, bedöms som synnerligen intressant. Detta är dock en benämning som endast är relevant inom transportbranschen då begreppet kan omfatta många typer av varuslag. Dock skall nämnas att införandet av HCT en komplex process med många ingående intressenter och domäner. Värt att notera är också att detta endast är en förstudie som har, med ett begränsat dataunderlag, visat på trolig potential för HCT i Sverige. Dock finns det flera aspekter som behöver utredas vidare, till exempel: •Möjliga affärsmodeller och praktiskt genomförbara upplägg behöver tas fram. •Systemeffekter av HCT (”modal shift”) behöver utredas ytterligare. •Trafiksäkerhetsaspekterna behöver utredas vidare •IT-system för accesshantering, övervakning och styrning behöver vidareutvecklas och testas i stor skala

    • Background: Predicting future Alzheimer’s disease (AD)-related cognitive decline among individuals with subjective cognitive decline (SCD) or mild cognitive impairment (MCI) is an important task for healthcare. Structural brain imaging as measured by magnetic resonance imaging (MRI) could potentially contribute when making such predictions. It is unclear if the predictive performance of MRI can be improved using entire brain images in deep learning (DL) models compared to using pre-defined brain regions. Methods: A cohort of 332 individuals with SCD/MCI were included from the Swedish BioFINDER-1 study. The goal was to predict longitudinal SCD/MCI-to-AD dementia progression and change in Mini-Mental State Examination (MMSE) over four years. Four models were evaluated using different predictors: (1) clinical data only, including demographics, cognitive tests and APOE ε4 status, (2) clinical data plus hippocampal volume, (3) clinical data plus all regional MRI gray matter volumes (N = 68) extracted using FreeSurfer software, (4) a DL model trained using multi-task learning with MRI images, Jacobian determinant images and baseline cognition as input. A double cross-validation scheme, with five test folds and for each of those ten validation folds, was used. External evaluation was performed on part of the ADNI dataset, including 108 patients. Mann-Whitney U-test was used to determine statistically significant differences in performance, with p-values less than 0.05 considered significant. Results: In the BioFINDER cohort, 109 patients (33%) progressed to AD dementia. The performance of the clinical data model for prediction of progression to AD dementia was area under the curve (AUC) = 0.85 and four-year cognitive decline was R2 = 0.14. The performance was improved for both outcomes when adding hippocampal volume (AUC = 0.86, R2 = 0.16). Adding FreeSurfer brain regions improved prediction of four-year cognitive decline but not progression to AD (AUC = 0.83, R2 = 0.17), while the DL model worsened the performance for both outcomes (AUC = 0.84, R2 = 0.08). A sensitivity analysis showed that the Jacobian determinant image was more informative than the MRI image, but that performance was maximized when both were included. In the external evaluation cohort from ADNI, 23 patients (21%) progressed to AD dementia. The results for predicted progression to AD dementia were similar to the results for the BioFINDER test data, while the performance for the cognitive decline was deteriorated. Conclusions: The DL model did not significantly improve the prediction of clinical disease progression in AD, compared to regression models with a single pre-defined brain region.

    • This paper considers the potential use of trams and Electric Distribution Vehicles (EDVs) as cargo carriers in intermodal urban freight distribution. Distribution activities are vital for society but are also the cause of environmental and social problems. Transporting goods in urban areas, where most logistics chains start or end, is an activity that increasingly generates severe problems for all stakeholders, for instance, local authorities, the logistic industry, customers and society in general. New transport solutions are necessary in order to decrease traffic congestion, noise and traffic pollution, e.g., emissions of greenhouse gases and other pollutants in urban areas. A possible solution to these problems is to transform the current freight distribution system within cities, for example by favouring the enhancement of intermodal transport alternatives, i.e. combining road and rail transport. Information has been collected through a literature review and interviews in Amsterdam and from these results a conceptual model is presented, as well as a low emission concept using electric vehicles on trams in Gothenburg. The concept utilizes techniques from the shipping industry, train industry, and the car industry.

    • This paper summarizes findings of a research project on business innovation. It contrasts two forms of innovation - those of 'internal process' and 'external jolt'. We propose that their deployment depends on how managers responsible for business innovation in large firms feel about, and sense and make sense of innovation. The felt-sensed form of innovation that they find appealing or with which they are comfortable, makes a big difference on what type of innovation process is actually put in place, and is sometimes manifested in the actual business model. Our ambition is to highlight these so-called 'non-rational' aspects in innovation decision-making that, we propose, complement - and sometimes shape - rational analyses determining managerial efforts to innovate.

    • The thesis aims at clarifying the function and civil law effects of shareholder agreements according to Swedish law. Shareholder agreements perform important functions as instruments to reduce risks associated with company law. It is clear that many companies do not correspond to the image of the company and its shareholders - i.e. the image of a capitalist firm and investor owners - on which company law is based. In some cases, there is a desire to ensure that strong external preferences can be realised, with the result that measures must be taken to guard against the principle of profit maximisation being accorded overriding importance. In other cases, it is precisely the effect of existing external preferences which must be countered. As a means of achieving the desired goals, shareholder agreements typically regulate decision-making activities and procedures within the company and its bodies. Contractual provisions of this kind can be called decision obligations ("beslutsbindningar"). Often the agreements also regulate transfer of shares. These provisions can be called transfer obligations ("överlåtelsebindningar"). Important to note is that the objects of the agreements - i.e. decision-making within the company and share transfers - are already regulated by the Swedish Companies Act ("Aktiebolagslagen [2005:551]"). They can also to a certain extent be addressed by the articles of association. This means that shareholder agreements give rise to collisions between two areas of law - contract law and company law - which are often regarded as mutually autonomous. This autonomy can be described in terms of two separation principles: one pertaining to contract law and the other to company law. Schematically, the problems that shareholder agreements raise can be analysed in the light of these principles. According to the separation principle in company law, statutory law support is necessary in order for an agreement to have company law effects. Conversely, according to the separation principle in contract law contractual assessments are not influenced by company law considerations unless prescribed by statutory law. The study shows that the separation principle in company law is absolute. However, the same can not be said regarding the separation principle in contract law. For example, the thesis argues that the performance of roles and functions other than the role of being a shareholder is or - concerning questions which fall under gaps - ought to be contractually mandatory. In contrast, there is no reason to view any part of the shareholder protection afforded by company law as contractually mandatory.

    • Today, a large share of cost, congestion, and emission in cities is attributed to light goods vehicles like carrier vans distributing to the last mile. The aim of many policy agendas is to reach cleaner cities with less disturbance from the distribution vehicles. Several suggestions have been put forward and tested in research and practice, such as access restrictions, multimodal transport, and use of cleaner vehicles. In this paper, we develop a case for a more sustainable freight distribution within cities using an ex ante case study. The idea of the mobile depot is built on the iteration between historical transitions within cities and contemporary developments in urban freight distribution, and then analyzed ex ante both quantitatively in calculations and qualitatively in two stakeholder workshops. The idea is integrated and multimodal, based on a mobile depot (e.g., a bus, truck, barge, or tram) that circles the city and connects to low emission last mile delivery options such as LEVs (Light Electrical Vehicles) or cargo bikes. We found that such a system can be environmentally and socially better for the city context, while maintaining economic viability above a certain utilization rate of the mobile depot for the transport operators.

    • Investments in sustainability are critical given the myriad environmental and societal challenges the world confronts. However, accessing and analyzing reliable information when making informed investment decisions has proven challenging. This article, therefore, aims to identify and explore the challenges faced by investors when making sustainable investments, and to outline potential solutions to overcome them. The article utilizes a combined-method approach of interviews and complementary data from company websites, sustainability reports, and sustainability information provided by quantitative rankings and indexes. It validates results from previous studies on the lack of coherence among the various rankings and indexes via correlation analysis, and studies why reliable sustainability data are not easily accessible and why reliable analysis and investment decision-making are difficult. The article highlights a need for continuous dialogue on sustainability reporting between companies and their stakeholders, as well as for stronger regulation and research to develop better and more widely shared standards for reporting sustainability data.

Consequently, the amount of outstanding cash is shrinking. For instance, in Sweden the level of cash is around 1.5% of Gross Domestic Product. This might be a tipping point for when cash is of practical use. In the paper, we present a research model that explores when merchants will stop accepting cash.

    • Sverige har en stark möbelindustri och en stolt tradition av att tillverka tidlösa och högkvalitativa möbler, ofta av naturmaterial. 2016 producerade Sverige möbler för 22,8 miljarder SEK, varav kontorsmöbler stod för nästan en fjärdedel1. Det saknas idag statistik över vad som händer med dessa möbler när de inte längre används, men det står klart att många av dem slängs i förtid när verksamheter flyttar eller när deras behov ändras. Samtidigt syns en tydlig utveckling mot att kunder mer och mer efterfrågar återbrukade eller renoverade möbler som en del i sitt hållbarhetsarbete. Denna utveckling var startpunkten för projektet ”Affärsmodell-innovation för cirkulära möbelflöden”. Affärsmodellinnovation för cirkulära möbelflöden är ett Vinnovafinansierat projekt som under åren 2015-2017 arbetat med att utveckla och testa koncept för cirkulära affärsmodeller för i första hand offentliga möbler. I projektet har tjugo aktörer från hela värdekedjan, från underleverantörer, möbelproducenter, återförsäljare och användare till forskare och branschorgan, samarbetat kring affärsutveckling, kundincitament, produktdesign, logistik, hållbarhets- och certifieringsfrågor. Den här skriften belyser hur nya affärsmodeller för mer cirkulära möbelflöden kan bidra till en mer hållbar utveckling och ger smakprov på slutsatser från projektet. Skriften riktar sig framför allt till producenter och återförsäljare av möbler för offentliga miljöer, men även kunder och inköpare tror vi kan ha stor nytta av skriften. Vi hoppas att den även kan fungera som inspiration för andra industrier och branscher som funderar på en övergång till mer cirkulära affärsekosystem.

    • Den sista delen av godsets transportkedja är oftast den mest ineffektiva, mest kostsamma och mest utsläppsintensiva delen av kedjan. Fyllnadsgraderna är låga, kostnaden för den sista kilometern kan i vissa fall utgöra upp till en tredjedel av den totala kostnaden och de negativa effekterna av transporter, utsläpp och olyckor, blir extra påfallande i miljöer där människor vistas. Att använda sig av mindre fordon som är bättre anpassade för uppdraget är något vi ämnar undersöka vidare i denna rapport. En enklare analys av livscykeldata för godscyklar visar att de är många gånger mer miljövänliga än skåpbilar i framdrift. Det finns också flertalet vinstdrivande företag i Sverige som levererar paket med godscyklar. Många av de stora transport- och logistikföretagen har redan börjat använda sig av dessa typer av fordon. Det faktum att godscyklar oftast kan hålla samma snitthastighet som skåpbilar under dagen, gör affärsmodellen intressant. Anledningen till det är att lastcyklar kan komma närmare kunden, inte behöver cirkulera för att hitta parkering, kan ta genvägar och använda sig av både cykelnätet och vägnätet. Så under en del förhållanden kan man därför ersätta en skåpbil med en godscykel.Det är också intressant att studera den standardiseringsprocess som påbörjats vad gäller valet av lastbärare. På senare år har vi sett en utveckling där man försöker göra överföringen mellan olika fordon så smidig som möjligt, exempelvis med en standardiserad flyttbar och stapelbar mini-container. Detta skulle kunna effektivisera hanteringen avsevärt, då man kan gå från att hantera lastbärare snarare än många små paket.
