    • In this article, empirical research on post-investment activities of business angels is reviewed and conceptualized as five distinct governance processes: boundary spanning, structuring, leadership, doing, and monitoring. These processes have the potential to reduce the exposure of business angels to relational risk and market risk. The identification of these governance processes also contributes towards understanding the social aspect of business angels’ post investment involvement. In particular, it is shown how the recognition of the cognitive/institutional dimension opens up for new questions about post-investment involvement. Finally, it is proposed that venture performance can be enhanced in practice if business angels and venture members develop skills that are connected to the governance processes.

  • Noncontractual Governance Strategies of Business Angels in the Post-Investment Venture Relationship

    • Business angels fulfil an important economic role in society by getting involved in early-stage ventures. This dissertation aspires to advance our knowledge of the governance strategies used by business angels in the venture relationship, based on the idea that the choice of governance strategies depends on the individual venture but is also shaped by the strategies adopted by any business angel network (BAN) the business angel is part of.Major findings are twofold. First, the analysis suggests that governance strategies are role-contingent. The role of the business angel vis-a-vis the venture changes, typically from outsider to insider, as the relationship transitions through different stages. Business angels should only use governance strategies that are perceived as legitimate for their role. Moreover, all strategies do not mix well and some may even neutralize each other when used together. The impact of the BAN on the action of the individual business angel is not straightforward: the formalization of a BAN will certainly restrict individual action, but, on the other hand, it seems that the BAN can also be useful for managing conflicts.Second, results indicate that conceptualizing the long-term dynamic of the investor-venture relationship in terms of any single theoretical perspective, be it agency theory, procedural justice, or norm-based influence, is too simplistic. The utility of each theoretical perspective is role-contingent: a business angel in the outsider role is better understood with agency theory, whereas a business angel in the insider role is better understood with norm-based influence theory.The empirical data on individual business angels comes mainly from 30 interviews with 21 business angels, and some supplementary data. The analysis of BANs is made differently and based on a different data set consisting of approximately 150 interviews with BAN members, civil servants, politicians, banks, accountants, and entrepreneurs.

    • The relations between the media and their corporate sources have become increasingly routinized and organized. In contrast to traditional perspectives on news making this article introduces an embeddedness perspective on business journalism and reports on the findings from a study of the way the major Swedish corporations and financial analysts contribute to and participate in the production of business news. Through a qualitative analysis of two cases we show that such production is organized and carried out in a stream of continuous and well-coordinated activities and structured interaction settings – that is, in a system of recursive mediation. Our analysis further illustrates how this system is maintained through the technological, relational and situational embeddedness of the activities and settings. Through our studies we show how news production has developed outside the journalistic domain. One implication of our findings is that the possibility of individual actors influencing the content of the news is likely to be limited. Instead, it is the actors’ ability to join the organizational and technological settings in which news material is generated that gives them the opportunity to actively participate in news production.

  • Problematic Departures : CEO Exits in Large Swedish Publicly Traded Corporations

    • The CEO departure is an important mechanism in corporate governance. It is by using this mechanism that boards of directors may discipline management. This study examines departures in the governance of large Swedish corporations.The study builds on three kinds of data. Thirteen former CEOs and chairmen in large Swedish publicly traded corporations have been interviewed. Also, the presentation of departures in annual reports of Swedish publicly traded corporations during the period 1987-1996 has been studied. Finally, two case studies were made of how the business press reports on departures. The study has used qualitative research methods and a particular aim has been to understand departures as processes.The results offer a more comprehensive understanding of departures as governance mechanisms. The problematic departure evolves contrary to expectations of normal departures. Important characteristics of the problematic departure are that they are often troubling to directors, chairmen and CEOs, while they to a general public appear as dramatic and interesting. This expressive character of the departure influences the management of the departure process. This is an important complement to how a departure often is perceived and classified as either voluntary or involuntary.This thesis describes the problematic departure as a process developing through four stages: sensing, taking action, departing, and recommencing. The process involves many important problems, such as the evaluation of the CEO, the question of which actors are to participate in such evaluation, and finally how information about the departure is to be managed.

  • The missing link between corporate governance and management accounting : A case of falling in between?

    • The last decades have seen an impressive reshaping of capitalism. The reshaping of financial systems through deregulation created an impressive mobility of capital, the growth of institutional investors led to the rise of a new paradigm of governance, and information technology has transformed both transactions in capital markets as well as how investments are monitored. The reshaping of capitalism has also seen the rise of new ideas about Shareholder value as a conception has celebrated triumphs in both academic literature and corporate governance practice. Yet we have a poor understanding of the role of management accounting systems in this new capitalism. Much is known from the corporate finance and financial economics literature on the value that financial markets place on information. Fair and equal disclosure of information has become a guiding principle in most market places. Yet there are question that must be answered on how the pressures of financial markets enter the organizations in which they exert influence. Ezzamel et al. (2007:2) say “with a few exceptions, a critical examination of shareholder value creation is largely absent from the literatures on the (re)structuring of work and the use of accounting measures”. The impetus for this article was the need that we saw to review the literature in the fields of management accounting and organization studies to see what had been learnt about the influence of financial markets on the design of management accounting systems. The article is a literature review of four journals. We have conducted a systematic literature review in which we selected journals from two fields – the organizational and management accounting. We have not studied finance literature. The journals were Accounting organizations and society, Management Accounting Review, Organizations Studies, and Administrative Science Quarterly. We selected the time period 1994 – 2008. The main conclusion is a pessimistic one – the phenomenon has only been scantily studied. Yet, as we will show, there are fragments of understanding that may help further studies forward. Management accounting systems form the very vertebrae of vertical control systems and the limited understanding of the impact of the transformation of corporate governance is not satisfactory. We therefore conclude with a number of recommendations for further research.

    • There is a wide range of media prizes that are awarded to businesses, business leaders and entrepreneurs. This is easily verified by a quick browse of the latest editions of the business press such as Fortune, Management Today, Financial Times or The Economist. Although the awarding of prizes to organizations and their representatives is a highly visible phenomenon the analysis of such prizes has hitherto been scant. What role do media prizes play in shaping the view of businesses and organizations? The architecture of a prize and its ensuing winners, distils a concentrated formula of what is commendable for business corporations at a given time. Thus such prizes and awards present a unique opportunity to study the production of norms and ideals for corporate management. Following contemporary research on media and organizations we know that the contexts were these prizes are awarded and reported on rely on the interactions of many organizations, where the initiatives and actions of mass media increasingly get tied into the activities and actions of organizations. In a dialectic relationship between media and business, it is clear that corporations are highly involved in shaping not only their brands and their images, but also the norms and ideals for good business. It has even been argued that it is useful to see the contemporary business enterprises as “edited corporations”, where governance is intimately tied to communication processes and where corporations are shaped in part by images and ideals that are circulated around them. Studying prizes thus allows a further investigation of such management ideals; in particular the processes that bring these ideals into being and allow them spread to wide audiences in and around organizations.

  • Producing and sustaining field-configuring events : The role of prizes in a Swedish Book Fair

    • We approach field-configuring events (FCEs) as gatherings that engender formative moments in the trajectory of technologies, professions, or industries. Previous research has focused on the field-level consequences of FCEs, implying we still know little about how these events are produced and sustained. Our aim in this paper is concomitantly to theorize the particular role of prizes as elements that help produce and sustain FCEs. Drawing on a qualitative case study of awards allocated at the 2018 Gothenburg Book Fair, we show how prize givers arduously attempt to raise issues and celebrate accomplishments in ways that are packaged for dissemination through media outlets. And these awards generate occasional visibility for prize givers and – by extension – for event organizers. Our paper contributes by highlighting how FCEs and prizes co-construct each other, and how such co- construction regularly unfolds in relation to a media logic that favors simplification and standardization.

    • Contemporary business organizations are becoming increasingly medialized. The present thesis builds on the assumption that the media play an important part in shaping relations between organizations and their environments, and that we need to know more about the way organizations respond to and influence the media and the production of news. Following a close examination of thirteen major Swedish corporations and their media activities it has been suggested that business organizations are actively involved not only in direct media work, i.e. activities concerned with news coverage, but also in influencing the organizational and professional settings in which the production of news occurs. This involvement on the part of the companies embraced the production of media texts, the development of various relationships with the media, organizational arrangements for their Corporate Communications departments, and the professionalization of company-media interaction.This corporate involvement has been perceived as being exercised via a set of purposeful negotiations whereby the companies contribute to the co-shaping of the short-term conditions for the coverage of news regarding their conduct, as well as other general settings consisting the routines, norms and expectations that shape their long-term interactions with the media. It has been concluded that more attention should be paid to company-media activities identified as a negotiated local practice. This practice constitutes a formal behavioural frame of reference for the interacting actors, as it allows for the possibility of mutual adjustments and professional improvisations. Thus, with its suggestion for bridging between institutional expectations and locally developed solutions, the notion of negotiated local practices gives us a more comprehensive understanding of the way individual organizations interact with and co-shape their environments.

  • Between market and culture : The case of the Gothenburg Book Fair

    • This chapter investigates how the institutional ambiguity of a book fair is dealt with during a media reputation crisis by its organization. It is based on a qualitative study of the Gothenburg Book Fair, which is the biggest cultural event in the Nordic countries, between the Spring 2016 and the Spring 2018, when the Fair got highly and publicly criticized for admitting an extreme-right wing newspaper publisher to exhibit. The heated debate, that developed on traditional and social media, challenged the ambiguity of theBook Fair as a cultural institution which is at the same time a cultural arena and a market-oriented enterprise. This chapter unpacks the ways in which the organization managed institutional ambiguity during the crisis and highlights an organization’s attempt to solve the (newly-formed) problem of ambiguity by creating neat boundaries between logics or orientations and by doing so created itself as a hybrid entity (Czarniawska and Solli, 2016). This hybridity implied, in turns, a problematization of the coexistence of different interests and a higher awareness of priorities among them.
